VAL provides AI-assisted decision support for security operations. It is designed to augment the work of trained security personnel — not to replace them, and not to act on its own.
VAL's outputs may be inaccurate, incomplete, or outdated. Review and verify them before relying on them in any consequential situation. Final security decisions remain with you and your personnel.
VAL is not an emergency response system. In an emergency, or wherever there is a threat to life or safety, contact emergency services (911) immediately and follow your organization's established procedures. Do not delay emergency action to consult VAL.

1. Acceptance of Terms

By accessing or using the Vigilis AI platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Service.

2. Description of Service

Vigilis is a cloud-based security management platform that provides:

  • Voice-powered AI assistance for security operations
  • Incident reporting and management tools
  • Site monitoring and analytics
  • Communication and coordination features

3. AI-Assisted Features

3.1 What VAL Does

VAL provides AI-assisted decision support for security operations — including surfacing site protocols, translation assistance, and helping officers record and escalate what they observe. VAL supports the work of trained security personnel. It does not perform security functions autonomously, and it does not act without a human directing it.

3.2 Accuracy and Verification

  • VAL's outputs may be inaccurate, incomplete, or outdated. Output quality depends on the data, integrations, and context available to it.
  • You must review and verify AI-generated information before relying on it in any consequential situation.
  • AI-assisted features are provided "as is," without warranties of any kind, express or implied, including as to accuracy, completeness, or fitness for a particular purpose.

3.3 Human Responsibility

  • Final security decisions remain the responsibility of the Customer and its personnel.
  • VAL is designed to augment, not replace, the judgment of trained security professionals.
  • Be alert to over-reliance: accepting an AI output without checking it can lead to a missed threat or a wrong conclusion, and mistakes in AI output are not always easy to spot.

3.4 Emergencies

VAL is not an emergency response system and is not a substitute for emergency services. See Section 12 (Emergency Situations), which governs.

3.5 Not Legal or Medical Advice

VAL does not provide legal or medical advice. Where a situation calls for legal counsel or medical care, consult a qualified professional.

4. User Responsibilities

4.1 Account Security

  • Maintain confidentiality of login credentials
  • Notify us immediately of unauthorized access
  • Use strong passwords and follow security best practices

4.2 Proper Use

  • Use the Service only for lawful purposes
  • Provide accurate information when creating reports
  • Follow your organization's security protocols
  • Do not interfere with Service operations or security

4.3 Voice Data

  • You acknowledge that voice interactions may be recorded and processed
  • Voice data is used to improve AI functionality and service quality
  • You consent to voice processing through third-party AI services

5. Prohibited Uses

You may not:

  • Use the Service for illegal activities or to violate any laws
  • Attempt to gain unauthorized access to our systems
  • Interfere with other users' access to the Service
  • Upload malicious code, viruses, or harmful content
  • Reverse engineer or attempt to extract source code
  • Use the Service to harass, threaten, or harm others

6. Limitation of Liability

6.1 Service Availability

  • We provide the Service "as is" without warranties of any kind
  • We do not guarantee uninterrupted or error-free service
  • Scheduled maintenance may cause temporary service interruptions

6.2 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED
  • WE DO NOT WARRANT THE ACCURACY OF AI-GENERATED CONTENT
  • WE DO NOT GUARANTEE FITNESS FOR ANY PARTICULAR PURPOSE

6.3 Limitation of Damages

IN NO EVENT SHALL VIGILIS AI BE LIABLE FOR:

  • Any decisions made based on AI assistance or platform data
  • Personal injury, property damage, or security incidents
  • Loss of profits, data, or business opportunities
  • Indirect, incidental, punitive, or consequential damages
  • Any damages exceeding the amount paid for our Service in the preceding 12 months

7. Indemnification

You agree to indemnify and hold harmless Vigilis AI from any claims, damages, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Security incidents at your facilities
  • Decisions made based on AI assistance or platform data

8. Data and Privacy

8.1 Your Data

  • You retain ownership of data you input into the Service
  • We do not use your data to train AI models
  • Data handling is governed by our Privacy Policy

8.2 Voice Processing

  • Voice interactions are processed by third-party AI services
  • We cannot guarantee complete privacy of voice communications
  • Our AI providers may hold voice data briefly — currently up to 30 days — to check for abuse of their systems, and then delete it

9. Subscription and Payment

9.1 Billing

  • Subscription fees are billed in advance
  • All fees are non-refundable unless required by law
  • We may change pricing with 30 days' notice

9.2 Suspension

We may suspend service for:

  • Non-payment of fees
  • Violation of these Terms
  • Suspected fraudulent activity

10. Termination

10.1 By You

  • You may terminate your account at any time
  • Termination does not relieve payment obligations

10.2 By Us

We may terminate service immediately for:

  • Material breach of these Terms
  • Illegal use of the Service
  • Non-payment of fees

11. Third-Party Services

Our Service integrates with third-party providers (AWS, OpenAI, Clerk, etc.). Use of these integrations is subject to their respective terms and privacy policies.

12. Emergency Situations

CRITICAL: In emergency situations:

  • Always contact appropriate emergency services (911, etc.) immediately
  • Do not rely solely on our Service for emergency response
  • Our Service is not a substitute for professional emergency services
  • We are not responsible for emergency response outcomes

13. Intellectual Property

  • We retain all rights to our Service, software, and proprietary content
  • You may not copy, modify, or distribute our intellectual property
  • You grant us license to use feedback you provide about our Service

14. Governing Law

These Terms are governed by the laws of the United States and the State of California, without regard to conflict of law provisions.

15. Dispute Resolution

Any disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

16. Modifications

We may update these Terms periodically. Material changes will be communicated via email or platform notifications. Continued use constitutes acceptance of updated Terms.

17. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
